Welcome to Ownify. These Terms and Conditions of Use (“Terms”) constitute a legally binding contract between you (the user) and Ownify Global Limited (“Ownify”). By accessing, registering an account, purchasing, or listing goods on the Ownify mobile application, website, and matching software services, you confirm that you have read, understood, and agreed to be legally bound by these corporate rules. If you do not accept these Terms in full, you must discontinue platform use immediately.

01 Legal Definitions & Scope

Throughout these Terms and Conditions, the following formal definitions apply:

  • "Ownify" / "Company" / "We" / "Us" refers strictly to Ownify Global Limited, its administrative affiliates, directors, employees, corporate agents, tech partners, and legal successors.
  • "Platform" refers collectively to the Ownify mobile software application, operational web domains, localized API endpoints, cloud databases, dashboard modules, and customer support channels.
  • "Vendor" means any independent business, wholesale firm, merchant, or legal person who applies, passes verification, and opens a storefront on the Platform to sell items.
  • "Customer" / "Buyer" means any individual, enterprise, or consumer agent browsing, making offers, or finalizing item purchases through the Platform.
  • "Order" refers to a finalized commercial purchase transaction for a listed product, executed, tracked, and safely processed strictly within the boundaries of the Platform framework.

02 Account Registration, Verification & Security

To access marketplace features, upload items, or purchase products, users must create a protected account profile. By onboarding, you explicitly confirm and agree to the following:

  • Age and Capacity: You are 18 years of age or older, or possess full independent corporate/legal capacity to enter into binding digital contracts under Ghanaian law.
  • Data Integrity: You warrant that all provided names, email records, phone indices, and logistical addresses are completely authentic, accurate, and kept up to date.
  • Credential Security: You accept full personal liability for keeping account passwords, access tokens, and verification keys secret. Ownify is not liable for losses caused by unauthorized login access.
  • Immediate Reporting: You must inform the Ownify support team instantly if you discover, suspect, or find evidence of an account breach, data leak, or unauthorized profile use.

Ownify retains the absolute legal right to block profiles, reset system access, or restrict specific account features if security violations, identity theft, or deceptive data entry is detected.

03 Marketplace Services & Platform Limitations

Ownify operates an online multi-vendor ecosystem providing digital infrastructure that allows independent Vendors to showcase items, and lets local Customers discover and buy them. It is explicitly agreed that:

  • No Ownership of Inventory: Ownify does not manufacture, own, stock, distribute, inspect, or directly sell any products listed by independent storefronts, unless an item is explicitly marked as "Ownify Direct Stock".
  • No Contract of Sale: The commercial purchase contract for an item is formed strictly between the buying Customer and the listing Vendor. Ownify acts as an intermediary platform providing software tools.
  • Scope of Facilitation: Ownify provides technical services including listing display tools, secure integrated checkouts, logistics tracking integrations, automated transaction ledgers, and dispute intake systems.

04 Strict Vendor Mandates & Store Verification

To open, operate, and maintain an active digital storefront on Ownify, all Vendors must submit to verification. Ownify reserves the right to request, store, and check the following mandatory records at any time:

  • Identity Records: A valid, unexpired government identification document (such as a Ghana Card or passport).
  • Corporate Records: Official business registration certificates, certificates of incorporation, and active Tax Identification Numbers (TIN) where legally mandated.
  • Disbursement Records: Verified Mobile Money (MoMo) wallets or commercial bank routing details registered under matching corporate or verified individual legal names.

Ownify reserves the absolute right to reject registration, suspend store features, delay profile launches, or permanently close active vendor access immediately, at its sole discretion, without providing prior corporate justification.

05 Product Listing Rules & Prohibited Inventory

Vendors retain total, exclusive liability for all text, images, dimensions, stock counts, and regulatory approvals attached to items listed under their storefront. Listings must be transparent and precise.

Deceptive Practices: Listings must not include false price anchors, misleading stock counts, stock photos that do not match the actual item condition, or unverified claims regarding product performance.

Strictly Prohibited Items: The following items are banned from display or sale on Ownify:

  • Counterfeit, replicated, or pirated goods; items infringing on third-party copyrights, trademarks, or patents.
  • Stolen property, unverified second-hand electronics, or items lacking clear proof of ownership.
  • Weapons, firearms, tactical gear, explosives, ammunition, or firework materials.
  • Narcotics, prescription drugs, unapproved herbal remedies, and controlled chemicals.
  • Pornographic materials, explicit media, or adult services.
  • Any substance, asset, or item that is illegal under the statutory laws of the Republic of Ghana.

Ownify monitors listings and will remove prohibited entries instantly, without warning, and may forfeit vendor balances associated with prohibited item sales.

06 Financial Structure: Commissions, Fees & Payouts

By registering a store on Ownify, Vendors agree to the following marketplace financial rules:

  • Standard Commission: Ownify charges a base commission rate of 10% on the gross value of every successfully completed transaction, unless a alternative rate is formally executed in a separate written corporate agreement.
  • Automatic Splitting: The 10% commission is calculated and automatically deducted by our payment engine from checkout funds before the remaining balance is made available for vendor payout.
  • Fee Adjustments: Ownify can alter commission metrics, introducing processing fee adjustments or platform subscription fees by sending notice to vendors 14 days prior to implementation.
  • Payout Terms: Vendor balances are processed and transferred after clear customer delivery confirmation, matching the standard platform processing schedule.

07 Payment Gateways & Escrow Protections

All online checkouts must go through our authorized payment processors, including Paystack and other designated local gateway partners. To protect consumers and prevent financial crime, vendor payouts can be held under the following conditions:

  • Where data analytics flag a transaction pattern as potentially fraudulent.
  • If a customer initiates a formal bank or card chargeback process.
  • During ongoing internal reviews into customer complaints regarding empty boxes or broken items.
  • If the vendor's disbursement wallet or bank info does not pass security matching.

Ownify shall not be held liable for payment delays, settlement holds, or transfer failures caused by third-party bank outages, mobile money network downtime, or gateway processor maintenance.

08 Off-Platform Transactions & Disintermediation

Strict Ecosystem Protection Rule: Vendors are strictly prohibited from bypassing Ownify's business framework. You must not add phone numbers, email text, WhatsApp links, or specific address text inside public product fields, image overlays, or chat channels to take customers off the platform. You must not ask for direct MoMo transfers or cash handovers outside our system.

If a vendor violates this disintermediation rule, Ownify will take immediate action, which may include: deleting the vendor store, withholding pending payouts to cover administrative damages, and pursuing legal action for breach of contract.

09 Deliveries, Courier Logistics & Pickups

Logistical operations are managed through independent delivery networks and third-party fulfillment services. The following terms apply to shipping operations:

  • Timelines as Estimates: Displayed delivery schedules and arrival windows are estimates. They do not constitute fixed contractual delivery guarantees.
  • Delays: Ownify is not liable for shipping delays caused by heavy weather, local road conditions, vendor dispatch delays, holiday backlogs, or unexpected courier issues.
  • Pickup Stations: Customers may choose to collect orders from designated pickup stations. Choosing this method may require paying separate handling fees at checkout or collection points.

10 Returns, Disputes & Refund Rules

All product issues, returns, and refund requests are handled in accordance with the official **Ownify Return and Refund Policy**. Important terms include:

  • Review Framework: Customers must lodge item complaints, damage reports, or missing item notices within our designated reporting timeframe, accompanied by photo or video proof.
  • Condition Checks: Items approved for return must remain in their original packaging, unused, and with tags intact to qualify for a full refund.
  • Investigation Rights: Ownify acts as the final decision-maker in multi-vendor disputes. We reserve the right to audit vendor logs and courier proof before releasing disputed funds to either party.

11 Intellectual Property Rights

The platform design, source code, user flows, database structures, graphics, UI themes, marketing text, and original logos are protected by intellectual property laws and remain the exclusive property of Ownify Global Limited.

Users are granted a limited, personal, non-transferable, revocable license to access the platform layout solely for individual marketplace use. You may not copy, reverse-engineer, scrap, republish, or extract our code or platform assets without our express prior written authorization.

12 User Conduct & Platform Misuse

Users agree to use the platform responsibly. Prohibited behaviors include:

  • Deploying web scrapers, automated spiders, data harvesting bots, or scripts that stress platform servers.
  • Uploading files containing viruses, Trojan horses, malware, ransomware, or corrupted software scripts.
  • Creating fake buyer accounts to post false reviews or manipulate vendor rating systems.
  • Harassing, threatening, stalking, or extorting other buyers or vendors via internal chat modules.

13 Limitation of Liability & Legal Disclaimers

As-Is Basis: The platform and all services are provided on an "as-is" and "as-available" basis without warranties of any kind, either express or implied.

Exclusion of Damages: To the maximum extent permitted by applicable law, Ownify Global Limited shall not be liable for any indirect, incidental, special, exemplary, or consequential damages. This includes, without limitation, loss of corporate profits, business opportunities, data loss, goodwill disruption, or product failures connected to vendor listings.

Financial Cap: In all circumstances, Ownify's total liability under these terms shall not exceed the specific transaction value that gave rise to the legal claim.

14 Legal Indemnification

You agree to indemnify, protect, defend, and hold harmless Ownify Global Limited, its executive directors, corporate shareholders, and platform workers against all legal claims, liability demands, financial losses, court judgments, tax penalties, and legal fees arising from:

  • Your breach of these Terms and Conditions.
  • Your violation of third-party rights, including intellectual property or privacy rights.
  • The quality, safety, legality, or function of items listed by a vendor storefront.
  • Your violation of applicable statutory laws within the country of operation.

15 Data Privacy & Regulatory Compliance

Ownify values personal privacy and processes user data in compliance with the Ghana Data Protection Act, 2012 (Act 843). By using the platform, creating a profile, or communicating via our systems, you consent to the secure collection, storage, encryption, and operational use of your personal details as outlined in our active Privacy Policy.

16 Force Majeure

Ownify shall not be held liable or deemed in default for platform downtime, transaction delays, delivery failures, or system errors resulting from events beyond its reasonable control. These events include natural disasters, public health emergencies, nationwide internet grid failures, government bans, labor strikes, civil unrest, or acts of war.

17 Governing Law & Judicial Dispute Resolution

Governing Law: These Terms and Conditions shall be governed by, interpreted, and enforced in accordance with the statutory laws of the Republic of Ghana.

Amicable Negotiation: Any legal dispute, commercial disagreement, or claim arising out of your use of the platform shall first be submitted to our support team for good-faith, amicable negotiation.

Judicial Jurisdiction: If a mutual resolution cannot be reached within thirty (30) business days from the initial notice, the dispute shall be referred to the exclusive jurisdiction of the competent courts of Ghana.

18 Updates & Document Modifications

Ownify reserves the right to modify or replace these Terms and Conditions at any time. Updated terms become effective immediately upon being posted on the platform. It is the user's responsibility to review this page periodically for changes. Your continued use of the platform following the posting of modifications constitutes acceptance of the revised Terms.
